
These Terms & Conditions (“Terms”) explain how our services work and what you can expect. They apply to your purchase and use of the Digital Shields Course, Done-For-You Service (human + AI agent), AI Guardian Service, Digital Shield Toolkit, and Digital Shield eBook (together, the “Services”) provided by FNL Ventures LLC, 1201 N. Orange Street, Suite 600, Wilmington, DE 19801 (“we,” “us,” “our”).
By purchasing, accessing, or using any of our Services, you agree to these Terms. If you don’t agree, please do not purchase or use our Services.
1. Services Overview
1.1 Digital Shields Course – An online program that teaches strategies, tools, and conversations to keep children safer online.
1.2 Done-For-You Service – A one-time session where we (human and/or AI safety agents) help you lock down devices, accounts, and parental controls.
1.3 AI Guardian Service – An ongoing subscription that uses AI monitoring and alerts to help you spot potential online risks.
1.4 Digital Shield eBook & Toolkit – Step-by-step resources, worksheets, and guides you can use at home.
2. No Guarantee of Results
2.1 We’ll give you the best guidance and technical support possible, but we cannot guarantee 100% safety.
2.2 Online risks evolve quickly — no system, human or AI, can block everything.
2.3 Our Services are support tools, not replacements for active parental supervision.
3. Limitations of Liability
3.1 To the fullest extent allowed by law, we aren’t liable for direct, indirect, incidental, consequential, or special damages arising from the use of or inability to use our Services.
3.2 We aren’t responsible for:
3.2.1 Actions taken by hackers, predators, or other malicious third parties.
3.2.2 Device, software, or internet provider failures.
3.2.3 Misconfiguration caused by changes you make after setup.
3.2.4 Limitations of AI or monitoring tools, including false positives or missed alerts.
3.3 You remain responsible for acting on any recommendations, alerts, or guidance we provide.
4. Service Requirements & Fair Use
4.1 You must provide accurate information, permissions, and access so we can deliver the Services.
4.2 We may refuse or discontinue Services if information is false, incomplete, or used unlawfully.
4.3 Fair Use – Done-For-You Service:
4.3.1 Each call includes configuration for a maximum of seven (7) apps per device.
4.3.2 One complete configuration cycle is included; follow-up adjustments are chargeable.
4.3.3 Additional apps/devices or custom/non-standard work are chargeable at our standard per-app/device or hourly rate.
4.3.4 “Reasonable use” is defined by your plan tier and industry norms, at our discretion.
4.4 After setup, you are responsible for maintaining the security of devices and accounts.
4.5 Device Ownership & Address Restriction:
4.5.1 Devices must be legally owned by you.
4.5.2 Devices must be registered to your current residential address provided at purchase.
4.5.3 Use on other individuals’ devices or at other addresses without our prior written consent triggers a penalty of two (2) times our standard hourly rate, plus reasonable costs/expenses/fees (including legal, travel, and third-party service fees) incurred by us in corrective or recovery actions.
5. AI Guardian Service Terms
5.1 AI Guardian provides monitoring and alerts; it does not take automated enforcement actions.
5.2 You are solely responsible for responding to alerts and taking protective action.
5.3 Effectiveness depends on the data you provide or allow access to; incomplete or restricted data may reduce effectiveness.
5.4 Fair use and device restrictions in clause 4.5 apply.
6. Human Safety Agent Call Terms
6.1 Pre-Call Requirements – You must complete the Device Risk Audit and prepare:
6.1.1 A list of all child devices (phones, tablets, laptops, consoles, smart TVs, smart toys, etc.).
6.1.2 Passwords and passcodes for devices and app stores.
6.1.3 Logins for major accounts (Google, Apple, Microsoft, gaming platforms, social media).
6.1.4 Your Wi-Fi password (for router-level safety settings if needed).
6.1.5 Your child’s age (to apply age-appropriate settings).
6.1.6 Any concerns or recent incidents you want addressed.
6.2 Checklist Before the Call – Please ensure:
6.2.1 Devices are charged and turned on.
6.2.2 Internet connection is working.
6.2.3 All passwords/logins are ready.
6.2.4 Zoom is installed and tested on your device.
6.2.5 You have a quiet space with devices within reach.
6.3 Call Session Rules
6.3.1 Device limits apply based on your plan.
6.3.2 All included devices must be secured within a single session.
6.3.3 Follow-up calls are not included; additional devices require a new plan.
6.3.4 Sessions are time-bound; please arrive on time.
6.3.5 Missed appointments without notice are forfeited.
6.3.6 A minimum of 48 hours’ notice is required to cancel or reschedule; less notice forfeits the session.
6.3.7 You may reschedule up to two (2) times; beyond this, the plan is cancelled without refund.
6.3.8 Each plan is valid for thirty (30) days from activation.
6.3.9 Parents must follow step-by-step instructions during the call to complete setup.
6.3.10 We provide technical setup and guidance only; ongoing monitoring and updates remain your responsibility.
7. AI Agent Call Terms
7.1 Preparation Steps – Before your AI Agent session, you must:
7.1.1 Complete the Device Risk Audit.
7.1.2 Have devices charged, unlocked, and ready.
7.1.3 Keep all logins and your Wi-Fi password available.
7.2 During the Call
7.2.1 Share your completed Risk Audit with the AI Agent.
7.2.2 Follow each step in real time.
7.2.3 Say “Wait” or “Slow down” if you need more time; the Agent will pause.
7.2.4 Confirm high-risk apps and settings are locked down before moving on.
7.3 AI Agent Session Rules
7.3.1 Device limits apply per your plan.
7.3.2 All devices in your plan must be secured within a single session.
7.3.3 Additional devices/apps require purchasing another plan.
7.3.4 The AI Voice Safety Agent is available 24/7 during your plan period for your scheduled session.
7.3.5 Sessions are not unlimited; one plan equals one complete session.
7.3.6 Each plan is valid for thirty (30) days from activation.
7.3.7 If preparation steps aren’t completed and the session can’t be fully used, the session still counts as completed; a new plan is required for another session.
7.4 Parent Guidance
7.4.1 Trust the Agent to guide the safest, most effective order (device controls first, then apps).
7.4.2 You remain in control — if it skips ahead, pause and redirect to where you were.
7.4.3 Use your Device Risk Audit to ensure no device or app is missed.
7.4.4 Work at your pace and confirm each step before continuing.
7.4.5 Expected outcome: devices and apps significantly safer, plus confidence to maintain protections weekly.
8. Intellectual Property
8.1 All course materials, configurations, AI models, software, and documentation are our intellectual property.
8.2 You are granted a non-transferable, non-exclusive, personal license to use these solely for your own household.
8.3 You may not copy, distribute, resell, or modify our content, software, or configurations without written permission.
9. Payment & Refund Policy
9.1 All payments are due in full at the time of purchase unless otherwise agreed.
9.2 Refunds are not provided once access to a course has been granted or a service has commenced, except where required by law.
10. Indemnification
10.1 You agree to indemnify, defend, and hold us harmless from all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
10.1.1 Your breach of these Terms.
10.1.2 Your misuse of our Services.
10.1.3 Any claim alleging harm or loss related to the online activity of your child or others under your care.
11. Force Majeure
11.1 We are not responsible for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, internet outages, cyberattacks, or government actions.
12. Termination
12.1 We may suspend or terminate your access to Services without refund if you breach these Terms or use our Services for unlawful purposes.
13. Governing Law & Jurisdiction
13.1 These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA.
13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Delaware, USA.
14. Severability
14.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
15. Entire Agreement
15.1 These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, understandings, and communications.
16. Call Recordings
16.1 All calls and video calls (human and AI) are recorded for training and security purposes.
16.2 By booking, you consent to being recorded.
